This Corporation was incorporated under the Companies Act, 1956 on 13.11.1980 with an authorised capital of Rs. 5 crores. The subscribed and paid-up capital of the Corporation as on date is Rs. 2.5 crores which has been paid by the State Government.
The Corporation is managed by the Board of Directors appointed by the State Government. At present, there are seven directors on the Board, all appointed by the State Government. The Secretary, Department of Agriculture, Government of West Bengal is presently the Chairman of the Corporation. The Managing Director is the executive head of the organization. He is assisted by the General Manager and Production Manager in agricultural activities, the Company Secretary in legal and organizational matters, and the Finance & Accounts Officer in financial matters.
The day-to-day activities of the Corporation are managed by the Managing Director under the overall control and superintendence of the Board of Directors.
The Head Office of the Corporation is located at Kolkata. In addition to the Head Office, the Corporation operates from two Regional Offices, thirteen District Units, and one Sub-unit. Each Regional Office is headed by a Regional Manager who supervises the District Managers under that region. Each District Office is managed by a District Manager responsible for the production programme and marketing activities in the district.

Article 102 of the Articles of Association of the Corporation stipulates that unless otherwise determined by a special resolution, the number of Directors of the Company shall not be less than two and shall be not more than nine. The Directors shall be appointed by the Governor and shall be paid such salary or allowances or remuneration as the Governor may from time to time determine. The Governor shall have the right to fill any vacancy in the office of the Director caused by retirement, removal, resignation and death or otherwise.
Article 102(d) – At every annual general meeting of the Company every Director except the Chairman, the Vice Chairman and a Director appointed to any office under Article 133 shall retire from office. The Chairman, the Vice Chairman and the Director appointed under Article 106 and 133 shall retire on ceasing to hold their office. A retiring Director shall be eligible for reappointment.
